 PROPOSED BYLAW AMENDMENT

UNDERLINED WORDING REPRESENTS LANGUAGE TO BE ADDED TO THE EXISTING BYLAWS AND DELETIONS ARE SHOWN BY A LINE DRAWN THROUGH THE WORDING IN THE EXISTING BYLAWS.

 ARTICLE VIII
 (Board of Directors)

 SECTION 1.          COMPOSITION AND AUTHORITY.  The Association at its Annual Meeting shall elect twenty (20) Directors, ten (10) from the Builder Members and ten (10) from the Associate Membership.  The Association at its Annual Meeting shall elect (27) Directors, twelve (12) from the Builder Members and fifteen (15) from the Associate Membership. The Board of Directors along with the Ex-Officio Directors shall be the governing body of this Association.  A Director so elected shall hold office for one year from the date of election or until a successor is duly elected and qualified.  The Board of Directors shall (a) transact the general business of this Association, except that reserved to the membership by these Bylaws: (b) act upon applications for membership and affiliation: (c) elect interim officers; (d) establish the policies governing the affairs of this Association: (e) receive reports of standing and special committees; and (f) act as the governing body of this Association.
